Product Terms

  1. These are the terms and conditions of the agreement between you and WebCentral Pty Limited in respect of the Managed PC Backup Service ("Service") and the software which is installed on your computer ("Software"). You are deemed to have accepted these terms and conditions upon your use of the Software and/or the Service.
  2. The use of the Software and Service is also subject to the WebCentral standard Terms and Conditions which are set out at the WebCentral web site, (excluding clauses 2.4, 2.5 and 2.6). You should read and familiarise yourself with those Terms and Conditions.
  3. WebCentral grants to you a non-exclusive, non-transferable licence to use the Software as long as you continue to pay the fees associated with the use of the Software and Service.
  4. You acknowledge that for backups to occur on an automatic basis as intended, your computer must be turned on, powered up and connected to the internet.
  5. The Service is provided through the Software which is installed on your computer. From time to time, we may modify the Software through the auto-update feature of the Software which automatically upgrades the Software. Your continued use of the Software constitutes your acceptance of automatic updates of the Software.
  6. You may use the Service for a maximum of the storage capacity as paid for by you. If you require additional storage, you may purchase additional storage or change your account size.
  7. You may use the Service on more than one computer, and may install the Software on multiple computers.
  8. All title to the intellectual property in the Software is the property of WebCentral or its suppliers. Title and full ownership rights to the Software will remain the exclusive property of WebCentral and/or its suppliers, and you will not acquire any rights to the Software, except as expressly set out above.
  9. Modifying, translating, renting, copying, transferring or assigning all or part of the Software, or any rights granted under this licence, to any other persons, and removing any proprietary notices, labels or marks from the Software is strictly prohibited.
  10. You agree that you will not attempt, and if you are a corporation, you will use your best efforts to prevent your employees and contractors from attempting to reverse compile, modify, translate or disassemble the Software in whole or in part.
  11. You acknowledge that your use of the Software and Service is at your sole risk and that from time to time, the Service may fail or be interrupted for a period for any number of reasons, and that the Software may function imperfectly or malfunction.
